STANDARD TERMS AND CONDITIONS 

SALES & MARKETING 


1. General Provisions

    • These Terms and Conditions constitute the legal basis binding all parties in the execution of cooperation. Any modifications, exceptions, or special agreements outside these terms must be documented in writing and signed by both parties to have legal force.

2. Payment Terms and Agreement

    • All invoices must be settled within 21 (twenty-one) business days from the invoice date, or according to the payment tenor agreed upon in the written agreement. We expect trustworthy execution from the Client to fulfill payment obligations as agreed.
    • In the event of payment delay without justifiable reasons (such as force majeure conditions), PT. Gema Waras Santoso reserves the right to:

      • Postpone the provision of services or delivery of subsequent goods;

      • Temporarily suspend all ongoing cooperation activities;

​   Such actions may be taken without prior notice until all payment obligations are settled.

3. Settlement of Arrears

    • If payment remains outstanding for more than 60 (sixty) calendar days, settlement will be pursued through the following mechanisms:
      1. Settlement through Deliberation
      2. We will prioritize deliberation to reach a fair agreement for both parties.

      3. Legal Action or Arbitration
      4. If deliberation does not reach an agreement and there are indications of bad faith, PT. Gema Waras Santoso reserves the right to pursue:
        • Legal channels applicable in the Republic of Indonesia; or

        • Legally recognized arbitration;

    1. to claim settlement of the principal debt and reimbursement of actual costs incurred due to the collection process (including but not limited to administrative, operational, and legal costs), without interest or penalty elements.

4. Tax Provisions

    • The Client is fully responsible for all tax obligations applicable in their jurisdiction, including but not limited to withholding tax or other tax deductions according to local regulations.
    • Payment to PT. Gema Waras Santoso must be received on a net basis according to the value stated in the invoice, without deductions for taxes, bank administration fees, or other regulatory costs that are the Client's responsibility.

5. Limitation of Liability

    • PT. Gema Waras Santoso is committed to performing all services to the highest professional standards and within the framework of best efforts. However, the Company does not guarantee absolute results beyond our operational control.
    • The Company is not responsible for:

      • Claims or lawsuits from third parties directed at the Client;
      • Indirect, consequential, or incidental losses;
    • unless such losses are proven to be caused by gross negligence or intentional misconduct by PT. Gema Waras Santoso based on a final and binding court decision.

6. Right to Complain

    • The Client has the right to file a complaint if there are discrepancies in the goods or services received.
    • Complaint Procedure:

      • Complaints must be submitted in writing to the Company's official address;
      • Submission must be made no later than 8 (eight) calendar days from the date goods are received or services are performed;
      • Complaints must be accompanied by adequate supporting evidence (photos, documents, or other proof).

​   If no complaint is filed within this time limit, the agreement is deemed completed and accepted with full consent by the Client.

7. Governing Law and Dispute Resolution

    • These Terms and Conditions are governed by the laws of the Republic of Indonesia while upholding the principles of justice, honesty, and transparency.
    • Any disputes arising will be resolved through:

      • Deliberation for consensus;
      • If no agreement is reached, disputes will be resolved through the Indonesian National Board of Arbitration (BANI) or the competent court in Indonesia.

8. Affiliate and Third-Party Products

    • Some products displayed on the Company's website are affiliate products marketed through external marketplace platforms. For products in this category, the following provisions apply:

​8.1. Role of PT. Gema Waras Santoso

          • We act as an information intermediary (affiliate marketer);
          • We do not store inventory, do not process payments, and do not deliver goods;
          • We have no operational control over these affiliate products.

​8.2. Transaction Mechanism

          • Transactions occur directly between the Client and the seller on the destination marketplace platform;
          • The Client is subject to the terms and conditions applicable on that marketplace when pressing the "Go to Marketplace" button or similar button.

​8.3 Limitation of Liability for Affiliate Products

​PT. Gema Waras Santoso is not responsible for:

          • Quality, suitability, or authenticity of products;
          • Shipping process, delays, or damage to goods;
          • Refund or exchange policies;
          • After-sales service from the seller.

​    ​All inquiries, complaints, or claims regarding affiliate products must be directed to the respective seller on the marketplace platform.


    Closing

    By placing an order or conducting a transaction, the Client is deemed to have read, understood, and agreed to these Terms and Conditions in their entirety. Thank you for your trust in PT. Gema Waras Santoso. We are committed to providing the best service with integrity and professionalism.
